NYSE parent ICE signs tokenization agreements with tZERO, including a patent license

Intercontinental Exchange and tZERO have signed a memorandum of understanding making tZERO a design partner for ICE's planned NYSE-affiliated tokenized securities platform, with ICE investing in tZERO and licensing its 103-patent blockchain portfolio.

ICE and tZERO Agree to Build Tokenized Securities Infrastructure

Intercontinental Exchange (@ICE_Markets), the parent company of the New York Stock Exchange, and blockchain infrastructure firm @tZERO have announced a set of agreements aimed at building the foundation for a public market in tokenized securities. The firms agreed a Memorandum of Understanding regarding tZERO's role as a premier design partner in developing digital transfer agent and broker-dealer infrastructure intended to support on-chain settlement of tokenized securities transactions on ICE's upcoming NYSE-affiliated tokenized securities platform.

ICE will also invest in tZERO's latest funding round and license its portfolio of 103 blockchain patents. The size of the investment was not disclosed. tZERO said the portfolio spans 23 patent families and 103 patents covering key parts of the security-token lifecycle, including compliance-aware transfer logic and upgradeable smart contracts.

Subject to regulatory, technical and operational requirements, tZERO is expected to become an approved digital transfer agent and subscriber to the platform. The role could put tZERO at the center of how tokenized shares are issued, transferred and recorded.

Collateral Use and Broader Context

As part of the partnership, ICE and tZERO will also explore whether tokenized assets can be used as collateral at ICE clearing houses and other affiliates. Both companies framed the agreements as an early step, with the platform itself still described as upcoming rather than live.

ICE had already tapped Securitize, best known as BlackRock's tokenization partner, in March as a digital transfer agent eligible to mint blockchain-native securities for corporate and ETF issuers on the planned NYSE-affiliated platform. The two tokenization firms are also locked in a legal dispute: Securitize sued tZERO in June seeking a ruling that it does not infringe tZERO's patents, after tZERO sent the company a cease-and-desist letter alleging infringement.

The ICE deal follows a busy stretch for tZERO. On August 25, tZERO announced a strategic partnership to integrate directly with the Sui blockchain, unlocking support for issuance, transfer agency, custody, trading, compliance and settlement for regulated digital asset securities trading. The integration is designed to expand Sui's access to institutionally compliant U.S. market infrastructure and bring Sui's pool of builders and developers into the tZERO ecosystem.

The partnership comes as major financial institutions increasingly explore tokenization. Citi has estimated that the tokenized securities market could reach $5.5 trillion by 2030.
