Strategy Raises Over $2 Billion Through Share Sales, Skips Bitcoin Purchase

Strategy (Nasdaq: $MSTR) sold roughly $2 billion in common stock last week without making any new $BTC purchases, according to a Form 8-K filed with the U.S. Securities and Exchange Commission on August 24, 2026.

During the period from August 17 to 23, 2026, the company raised a net $2.01 billion by selling over 18 million MSTR shares. Rather than directing those proceeds straight into Bitcoin, Strategy raised its USD Reserve to $5.10 billion, established a new $1.59 billion USD Cash pool, and repurchased $136 million of its STRC preferred stock.

The USD Cash account is designed to work alongside the existing USD Reserve rather than replace it. Strategy first outlined the broader framework in a filing on June 29, 2026, saying the added flexibility should help it react faster to market shifts, including potential dislocations in Bitcoin prices or in the trading of its own securities.

$6.7 Billion in Liquidity Held Alongside 840,447 Bitcoin

Rather than reinvesting the share-sale proceeds in the spot market, the firm orchestrated a large financial rebalancing, raising its total dollar reserves to a record $6.69 billion. That figure combines the $5.10 billion USD Reserve and the newly established $1.59 billion USD Cash balance.

Bitcoin holdings remained unchanged at 840,447 BTC, representing nearly 4% of the total Bitcoin supply. At current prices, that stack is worth approximately $65.8 billion. The company says the accumulated dollar liquidity could support future Bitcoin purchases alongside other treasury obligations.

Strategy describes itself as the world's first and largest Bitcoin Treasury Company. It has adopted Bitcoin as its primary treasury reserve asset and uses proceeds from equity and debt financings, as well as cash flows from operations, to strategically accumulate Bitcoin.

A bitcoin corporate treasury holds BTC as a balance-sheet reserve asset and can finance that position through stock sales, debt, or preferred securities. Strategy's structure also creates recurring dividend and interest obligations, making its dollar reserve a separate liquidity buffer rather than another measure of its Bitcoin holdings.
